Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and GarudX.AI ("we", "us", "our") governing your access to and use of StickLab (the "Service"), including our website, sticker library, AI generation tools, and related features.

By creating an account, signing in, subscribing, purchasing credits, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement.

We may update these Terms from time to time. We will post the revised Terms with an updated "Last updated" date. Material changes will be communicated via email or in-app notice at least 30 days before they take effect, where required by law. Continued use after the effective date constitutes acceptance.

• Accounts are created through Google OAuth sign-in. You must provide accurate information associated with your Google account.
• You are responsible for maintaining the security of your account and for all activity under your account.
• One account per individual. Do not share credentials or allow others to use your account.
• We may suspend or terminate accounts that violate these Terms, our Acceptable Use Policy, or applicable law.
• Upon termination, you lose access to the Service, unused subscription benefits, and unused credits (see Section 3).

The Service offers Free (trial), Pro ($9/month), and Studio ($29/month, when available) plans. Plan features, credit allocations, and pricing are described on our pricing page and may change with reasonable notice.

Free trial: The Free plan starts with a 30-day trial of Pro billing. A valid credit or debit card is required at checkout. You are not charged during the 30-day trial. Unless you cancel before the trial ends, your subscription automatically converts to Pro at $9/month and your card will be charged. Cancel anytime before the trial ends through the Stripe billing portal (Profile → Manage Subscription) to avoid charges.

Auto-renewal: Paid subscriptions renew automatically each billing period until canceled. You authorize us and Stripe to charge your payment method on each renewal date.

Credits: Credits are consumable digital goods used for AI generation and remix operations. The exchange rate is $1 USD = 100 credits. Each generation requires at least 200 credits. Credits are non-refundable once spent. Unused credits expire when your paid subscription is canceled or your account is deleted.

Payments are processed by Stripe. We do not store your full card details. Prices may exclude applicable taxes (VAT, sales tax, etc.), which may be added at checkout where required.

Refunds: Subscription fees and credit purchases are generally non-refundable once delivered, except where required by mandatory local consumer protection laws. If you have a billing concern, contact us at info@garudx.ai and we will review your case fairly.

EU/UK consumers: Where applicable, you may have a 14-day right of withdrawal for digital content. By starting a trial or purchasing credits, you consent to immediate delivery of digital content and acknowledge that you lose your withdrawal right once delivery begins, to the extent permitted by law.

During the Free trial, you receive Free-tier access even though Stripe records a Pro trial subscription: browse the free library, view prompts, and download up to 10 standard-quality (1K) stickers. Remix and generate are not available during the trial unless you activate Pro early.

Pro includes access to the premium library, unlimited 4K transparent PNG downloads, remix and generate features, and 900 credits when your paid subscription activates.

Studio (when available) includes everything in Pro plus commercial licensing (see our Commercial License), API access, and 2,900 credits.

We may modify features, libraries, credit costs, rate limits, or plan entitlements with reasonable notice. Feature descriptions on the pricing page and FAQ are for convenience; these Terms govern.

GarudX.AI owns or licenses the curated sticker library, prompts displayed in the Service, branding, and platform software. All rights not expressly granted are reserved.

• Pro plan: You receive a limited, non-exclusive, non-transferable license to download and use stickers for personal, non-commercial purposes.
• Studio plan: Commercial use is permitted only under our Commercial License while your Studio subscription is active.
• You may not redistribute, resell, sublicense, or publicly share downloaded sticker files as stock assets.
• You may not use catalog content to train AI or machine-learning models.
• You may not scrape, bulk-download beyond plan limits, or circumvent technical access controls.
• Visible prompts are part of the Service experience and are not freely reusable intellectual property outside your licensed use of the resulting stickers.

"User Content" means prompts you submit and reference images you upload for remix or generation. You retain ownership of your User Content.

You grant us a non-exclusive, worldwide, royalty-free license to process, store, transmit, and display User Content solely to operate and improve the Service, including processing through third-party AI providers.

You represent that you own or have all necessary rights to your User Content and that it does not infringe any third-party rights or violate applicable law.

AI-generated outputs: Subject to these Terms and third-party provider policies, you own the outputs you generate through the Service. We do not guarantee that outputs are unique, error-free, or suitable for any purpose. You are responsible for reviewing outputs before use.

You grant us a non-exclusive license to store generated outputs, display them in your usage history, and use them to operate the Service. Generated images may be stored on our infrastructure with accessible URLs as part of service delivery.

Outputs are created using OpenAI services and are subject to OpenAI usage policies. Requests may be blocked by automated content moderation.

You agree not to use the Service to:

• Create, upload, or request illegal, harmful, abusive, harassing, hateful, or sexually exploitative content.
• Infringe intellectual property rights, including logos, brand marks, copyrighted characters, or celebrity likenesses without authorization.
• Attempt to bypass content moderation, rate limits, download restrictions, or security measures.
• Use automated tools to scrape, bulk-download, or abuse the Service or API.
• Misrepresent your affiliation with GarudX.AI or imply our endorsement.
• Reverse engineer, decompile, or attempt to extract source code or models from the Service.

Violations may result in content removal, feature restrictions, account suspension, or termination without refund.

We use automated moderation (including through OpenAI) and may manually review content. We may remove content or restrict features at our discretion.

If you believe content on the Service infringes your copyright, send a notice to info@garudx.ai including: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a statement of good-faith belief, and (5) a statement under penalty of perjury that your notice is accurate and you are authorized to act. We may terminate repeat infringers.

The Service integrates with third-party providers including Google (OAuth), Supabase (auth, database, storage), Stripe (payments), and OpenAI (AI generation). Your use of those services may be subject to their terms and privacy policies.

We are not responsible for third-party service outages, changes, or actions. The Service may contain links to third-party sites; we do not endorse and are not responsible for their content.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated content may be inaccurate, incomplete, or unsuitable. We do not warrant uninterrupted or error-free operation.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Nothing in these Terms limits rights you have under mandatory local consumer protection laws that cannot be waived by contract.

You agree to indemnify and hold harmless GarudX.AI and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or applicable law.

• You may cancel your subscription through the Stripe billing portal and stop using the Service at any time.
• We may suspend or terminate your access for violations of these Terms or for operational, legal, or security reasons.
• Upon termination, your right to access the Service ends. Unused credits are forfeited. Downloaded content remains subject to the license granted while your subscription was active.
• Sections that by nature should survive termination (IP, disclaimers, liability, indemnification, governing law) will survive.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of courts in India, except where mandatory local consumer protection laws require otherwise.

If you are a consumer in the EU, UK, or another jurisdiction with mandatory consumer protections, those protections apply to the extent they cannot be waived.

• Entire agreement: These Terms, the Privacy Policy, and (if applicable) the Commercial License constitute the entire agreement between you and GarudX.AI regarding the Service.
• Severability: If any provision is unenforceable, the remaining provisions remain in effect.
• Assignment: You may not assign these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
• Force majeure: We are not liable for delays or failures due to events beyond our reasonable control.
